Acceptance of Terms
By accessing or using the Archaeon platform and website (“Services”), you agree to be bound by these Terms of Use (“Terms”). If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
Description of Services
Archaeon provides a cloud-based security and governance, risk, and compliance (GRC) platform that helps organisations manage their security programs, track compliance, and govern risk. The specific features available to you depend on your subscription plan.
Account Registration
To use the platform, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.
Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose
- Attempt to gain unauthorised access to any part of the platform or its related systems
- Interfere with or disrupt the integrity or performance of the Services
- Reverse-engineer, decompile, or disassemble any aspect of the platform
- Use the Services to store or transmit malicious code or infringing material
- Resell, sublicense, or provide access to the platform to third parties without our written consent
Intellectual Property
The Archaeon platform, including its software, design, content, and documentation, is owned by Archaeon Inc. and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Services during the term of your subscription.
You retain ownership of all data you upload to the platform. By uploading data, you grant us a limited licence to host, process, and display it solely to provide the Services to you.
Subscription and Billing
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in your subscription agreement. We reserve the right to modify pricing with 30 days' notice prior to your next billing cycle.
Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for any downtime, data loss, or service interruptions caused by factors beyond our reasonable control.
Limitation of Liability
To the maximum extent permitted by law, Archaeon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services. Our total liability shall not exceed the amounts paid by you in the twelve months preceding the claim.
Termination
Either party may terminate the subscription in accordance with the terms of the applicable subscription agreement. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to access the platform ceases, and we may delete your data after a 30-day grace period.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Delaware.
Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or through the platform. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
